We invest our own capital and source private and institutional capital through a network of private and institutional investors into a wide variety of sectors and situations. Adequate and supportive funding is fundamental to continued corporate growth. The final type of capital sourced will be determined by your objectives. For example: raising capital for acquisitions, equipment purchases, marketing or working capital to expand market share may require bank debt, mezzanine debt, private convertible debt or private or pubic equity. BELL has strong relationships with accredited investors, money managers, pension funds, banks, insurance companies, mutual funds, hedge funds, venture capital firms, and off-shore private equity firms. BELL is not a registered securities agent and will not sell debt or equity interests for a client. BELL provides corporate finance advice commensurate with the capital needs of the client by consulting on private placements which are exempt from the provincial securities regulator's registration and prospectus requirements. BELL prefers to invest as principal in its advisory transactions.

Financial Restructuring
 

BELL offers owner operators, shareholders, debtors, creditors and board committees of distressed companies a suite of financial restructuring services. These services include: divestiture of assets or businesses, recapitalizations, debt exchanges, exit financing, valuation and other methods of non-judicial reorganizations. BELL has strategic relationships with local bankruptcy trustees and insolvency practitioners should it be determined that the business take advantage of the protections and processes offered under the Bankruptcy and Insolvency Act (Canada). BELL advises family, corporate and other conflicted ownership groups to restructure transition or smoothly discontinue their relationships. Our services include: interviewing key parties and analyzing needs and desires, high level strategic planning for the owners and the business, valuation of the enterprise and respective owner interest, developing an exit strategy, pricing and structuring the transaction for departing owners, arranging buyout financing, and co-coordinating the transfer of ownership.

BELL representatives are known for their integrity, expertise and ingenuity.  BELL works with owner operators, boards of directors and board committees to address many of the ethical issues that are traps to the unwary company.  These services include the following:

  • assessing corporate governance structure, roles and responsibilities of the board of directors and the various committees including audit committees, assessment of liability and insurance coverage and communication and reporting procedures;

  • assessing the collection and use of private information collected by a business and working with management to draft a personal information privacy policy and assigning an employee the responsibility of monitoring and reporting on such policy;

  • reviewing, establishing and assisting in the implementation of environmental and safety policies and procedures;

  • political lobbying and community relations; and

  • joint venture representation with special interest groups, whether they be 

  • First Nations organizations, industrial, consumer, environmental, political or unions.
BELL will also use its resources and networks to enable its clients to access technology, products and services, distribution channels and management resources both on a domestic and global scale.
